Anum Rural Bank PLC, located in the Eastern Region, is seeking a qualified individual to join their team as a Board Secretary.
Job Purpose:
As the Board Secretary, your primary role will be to ensure that the bank and its directors comply with legal requirements and operate in accordance with relevant regulations.
Responsibilities:
- Assist the Board in complying with the constitution of the bank and any relevant enactments.
- Provide administrative support for the Board by accurately recording minutes of meetings of shareholders, committees, and directors as required by Act 992.
- Maintain all statutory registers, books, and records of the bank.
- Ensure that the Annual Financial statement of the Bank is distributed to entitled parties in accordance with Act 992.
- Complete and submit all necessary statutory forms, returns, and documents to the registrar.
- Offer guidance to the Board regarding their duties, responsibilities, powers, and changes in laws affecting the bankโs operations.
- Ensure that board constitution and policies are established and implemented.
Qualifications Required:
- Bachelorโs Degree in company law, Business Administration, or Management.
- A Masterโs Degree in accounting and finance is an added advantage.
- Qualified member in good standing of professional bodies such as ICSA, ICAG, CIB, ACCA, and a legal practitioner called to the bar.
- Not less than 3 years of proven experience as a Board or company secretary.
Competency and Skills:
- High level of integrity and diplomacy.
- Strong understanding of Ghanaian laws and legal responsibilities.
- Excellent communication and interpersonal skills.
- Outstanding leadership and managerial abilities.
- Team player and self-oriented individual.
- Proficiency in ICT, including Microsoft Office applications.
